Above and beyond the call of duty in our business sale

We had a small family business selling auto parts for older cars which we’d been running for 33 years. We were heading into our 60s and starting to think about retirement when somebody came along and made us an offer to buy our business. They walked me through my business purchase

I’m a dentist previously based in South Australia.

Last year the opportunity came up for me to purchase a dental practice in Bega, New South Wales. It was a good business opportunity for me, and I jumped at the chance. However, I had no idea where to start in terms of the logistics of the purchase. My accountant recommended ADLV Law to assist me, as he recommends them to all his clients.

I had never bought a business before, so the purchase was a big deal to me. I had a lot of questions, but ADLV Law were always there to answer my calls and give me the answers quickly. ADLV Law also negotiated the business purchase contract, and were able to incorporate some very beneficial terms.

Their documents were very good

There had been significant changes to our accounting partnership over a number of years, and we needed documentation to show the changes.

Our structure is fairly complicated. Being accountants, we knew what we wanted and we just needed ADLV Law to put it in legal form. We gave ADLV Law a very broad brief initially, and then they came back with a quote and recommendations.

ADLV Law’s service was great – they were very helpful and met every expectation. They always responded really quickly and they certainly met all of our timeframes. Strategy and precision

We needed to terminate a lease agreement with a quarry operator who was operating on our land but had gone into receivership.

We were dealing with liquidators, receivers and third parties, so it was quite complex and there were lots of potential issues. We wanted to make sure that we went through the right procedures.

ADLV Law were very good at offering advice on how to approach each issue. It was refreshing to work with lawyers who could strategise and who made sure to dot the i’s and cross the t’s.

I owned a waste oil business, which went into liquidation in December 2014.

Responsive corporate counsel who know their stuff

When I took over the company about 2 years ago, ADLV Law was one of the corporate law teams that was engaged in Australia by CPP at the time.

ADLV Law was one of the few relationships that we retained, and the only corporate lawyers that we retained. Why? They are quick to respond and deliver the right information.

ADLV Law helped us in the beginning to get a very engineering-focused group together in Australia from a legal perspective. They initially helped us decide on the best structure through which to set up in Australia, then assisted with the legal aspects of things like securing a property and building our wind-tunnel testing facility. They also assisted with engaging local employees and directors, as well as more recently updating and tailoring our company constitution.

ADLV Law are very good at communicating our corporate responsibilities, as well as our directors’ personal liabilities.

We realised it was costing us more by not getting professional advice

We always thought it would be very expensive to get our “home grown” Business Terms of Supply drafted by a lawyer – until we started seeing a rise in overdue accounts during the global financial crisis. That’s when we realised it was costing us more… much more… by not getting professional advice.

ADLV Law suggested a modular approach – firstly, the general Terms of Supply that apply to all clients; secondly, a set of carefully worded “Proposals” that relate to specific products or services; and finally, a Credit Application for new clients to drive home the point they have an obligation to pay their bills.

As it turned out, the cost of preparing these documents was a lot less than we thought and also resulted in some unexpected benefits…It made us focus on what we do and how we do it – we now have a definitive list of services and find it easier to sell more to clients simply because our own people are more aware of everything we offer.

We now have an even more structured approach to preparing proposals and this has saved us a lot of time.

The modular approach makes it easy to add additional conditions when the product/service mix changes.

Our clients are now clear about how we operate, there are less misunderstandings, and they accept that they also have responsibilities to fulfil whenever we undertake a project on their behalf.

The process we went through with ADLV Law was extremely worthwhile – and the outcome has been brilliant.

The Terms of Supply have provided a solid foundation to underpin future growth and, of course, peace of mind knowing we are protected from liability if anything should ever go wrong. We couldn’t be happier with Andrew Andreyev and his Team.
